These terms cover the commission-based affiliate program. Other partnerships are agreed separately in writing.
LegalNoli Affiliate Program Terms & Conditions
These draft terms describe the Noli Affiliate Program operated by The Noli Shop / Dessa Brands ("Noli", "we", "us"). By applying or participating, you agree to these terms once they are finalized and published.
1. Eligibility
You must be at least 18 years old. Participation is by invitation or approved application. We may accept partners in the United States and other countries we sell into, including Canada, the UK, Australia, Ireland and the Middle East. We may refuse or remove any partner at our discretion. Final eligibility is confirmed at approval.
2. Application and approval
Applications are reviewed manually. Approval does not create an employment, partnership or joint-venture relationship. You are an independent contractor.
3. Commission
Commission is a percentage of net referred sales: after discounts and before tax and shipping. It is reversed on returns, refunds, cancellations, chargebacks and fraud. Default rates: Silver 12%, Gold 15%, Icon 18%. We may change rates or tier thresholds with 30 days' notice.
4. Attribution
Last-click cookie of 30 days on your affiliate link, plus tracking when your personal code is used at checkout. Self-referral is prohibited.
5. Holding period and payouts
Commission is held for 45 days after the order, then eligible for approval. Payouts are monthly on the 15th for approved commission from the prior month, subject to a $50 minimum. Default method is PayPal. Store credit at a +20% bonus value may be offered. You are responsible for providing accurate payment details.
6. Customer offers
Any customer discount tied to your link or code is set by Noli, varies by campaign, may be limited to new customers, and typically does not combine with other codes. Specific offers are confirmed before launch.
7. Prohibited promotion
- Coupon, cashback, deal and voucher sites; browser extensions that scrape or publish codes
- Bidding on "Noli", "The Noli Shop" or confusingly similar brand terms in paid search
- Self-purchase or self-referral for commission
- Spam, misleading claims, incentivized or fake reviews
- Using Noli trademarks in domain names, social handles or app names without written permission
8. Disclosure
You must disclose your material connection to Noli clearly and conspicuously in every endorsement, consistent with FTC 16 CFR Part 255 (and equivalent rules in your market). Example: "#ad" or "I earn a commission if you shop through my link" placed near the recommendation.
9. Brand assets and content
You may use approved brand assets from the partner resources page only. We may reshare your public content promoting Noli for marketing, with credit where practical. Do not alter logos in a way that harms the brand.
10. Taxes
You are responsible for your taxes. US persons may be required to submit a W-9. We may issue a 1099-NEC when legally required. Confirm thresholds with your accountant.
11. Termination and clawback
Either party may end participation at any time. We may withhold or reclaim commission tied to prohibited activity, returns or fraud. On termination, stop using affiliate links, codes and brand assets.
12. Limitation of liability
To the fullest extent permitted by law, Noli is not liable for indirect or consequential damages arising from the program. Our total liability under these terms is limited to commission unpaid but properly owed to you in the three months before the claim.
13. Privacy
We process personal data as described in our Privacy Policy.
14. Governing law
These terms are governed by the laws of a U.S. state to be confirmed by counsel before publication, without regard to conflict-of-law rules.
